Due Diligence:
The Role of Safety and Regulatory Experts in Mergers And Acquisitions

With the resurgence of merger and acquisition (M&A) activity in the past two years, it’s important for companies contemplating transactions (from the buyer’s or seller’s side) to evaluate the full range of issues that affect the “value” of the transaction.  For companies in the personal care products (PCP) industry, the nature of the raw materials, production operations, and delivery of products that impact our daily lives ensures that compliance with a range of environmental, health, and consumer safety regulations is critical to the value of the deal.  In the US, the FDA has oversight of many classes of products that are subject to good manufacturing practice (GMP) regulations and requirements, the EPA regulates emissions to air, water, and waste from manufacturing plants as well as the environmental safety of biocides and antimicrobials, and OSHA regulates workplace safety.  Therefore, company technical and scientific personnel (quality, environmental, safety, R&D, regulatory) are likely to be involved in the due diligence process.  Due to the short timeframe for many M&A transactions, a comprehensive review of the regulatory compliance basis for a product portfolio can be difficult; however, some critical review is needed to ensure that one does not “buy into” a major non-compliance situation that can undermine the economic benefits of the deal. 

Expert speakers John F. Wojciak, PhD, PE and Meghan L. McKelvey of ENVIRON will address the drivers for conducting technical due diligence reviews, define what to expect during a typical review, and present strategies for conducting a consumer product regulatory compliance systems review.  Examples from ENVIRON’s experience will be discussed including a selection of “stealth” issues specific for the PCP industry.
